Terms of Service

1. About these terms and who we are

These Terms of Service (the “Terms”) are a legal agreement between you and Maia Health Limited, a company incorporated in Hong Kong with its registered office at Room 1406, 14/F, Yinhe Tower, 303 Jaffe Road, Wan Chai, Hong Kong (“Maia”, “we”, “us”, or “our”). They govern your access to and use of the Maia website, mobile application, assessments, concierge and community features, and related services (together, the “Services”).

By creating an account, completing an assessment, or otherwise using the Services, you agree to these Terms and acknowledge that the App, Assessments, Insights, Concierge and Community are informational and non-clinical, do not provide medical advice, diagnosis or treatment, and must not be used for urgent or emergency care. If you do not agree, do not use the Services.

These Terms incorporate our Privacy Policy and any product-specific terms we present to you at the point of use. If there is a conflict, the product-specific terms apply for that product, followed by these Terms, except that the Privacy Policy applies to the collection, use, disclosure, retention, and other processing of personal data. Nothing in the Privacy Policy or any product-specific terms expands the Services into medical advice, diagnosis, treatment, monitoring, triage or emergency care unless we expressly identify a separate regulated clinical service and present specific terms for that service.

2. Definitions

  • “App” means the Maia mobile application on iOS and Android.
  • “Assessment” means any questionnaire or self-assessment we offer, including the Maia Midlife Clarity Snapshot.
  • “Community” means the user forums, groups, and social features within the Services.
  • “Concierge” means the administrative and informational support service that helps you navigate the Services, find information about available features, and arrange or manage bookings or communications at your request. The Concierge is not a medical triage, diagnosis, treatment, monitoring, referral, emergency-response, or care-management service, and Concierge personnel must not be relied on to assess your symptoms or determine what medical care you need.
  • “Expert Services” means consultations, reviews, or guidance provided directly to you by independent clinicians or other health professionals whom you may separately engage using functionality made available through the Services. Expert Services are not provided by Maia.
  • “Content” means any text, images, data, or other material you submit, post, or upload to the Services.
  • “Insights” means the informational and non-clinical scores, summaries, patterns, prompts and suggestions that the Services generate from your inputs, including outputs generated or assisted by automated systems. Insights are not medical advice, a diagnosis, a clinical assessment or a recommendation for treatment.

3. Eligibility

The Services are intended only for individuals aged 18 or over. By using the Services you confirm that you are at least 18. We do not knowingly permit anyone under 18 to create an account or provide us with personal data. If we learn that an individual under 18 has created an account or provided personal data, we may suspend or close the account and will handle that personal data in accordance with our Privacy Policy and applicable law.

You must also have the legal capacity to enter into these Terms, and you must not be barred from using the Services under the laws of your country.

4. Your account

You must provide accurate, complete, and current information when you register and keep it up to date. You are responsible for keeping your login credentials confidential, must not disclose them to anyone else, and are responsible for activity under your account to the extent caused by your act or omission. Tell us promptly if you suspect unauthorised access to or use of your account, and follow any reasonable security instructions we give you.

You may not share your account, use another person’s account without permission, or create an account using false information.

5. Important: the nature of the Services and medical disclaimer

READ THIS SECTION CAREFULLY

The Services provide general health and wellbeing information, education, self-management support, and administrative or concierge support only. Except for clinical services provided directly to you by an independent clinician through the Expert Services, the Services do not provide medical advice, diagnosis, treatment, prescriptions, or emergency care. The Insights we generate, including scores, summaries, suggestions, and other outputs, are informational only, may not be accurate, complete, or appropriate for your individual circumstances, and are not clinical decisions or a substitute for professional medical advice, diagnosis, or treatment from a qualified clinician.

Using the App, website, Assessments, Insights, Community, or Concierge does not create a doctor-patient, therapist-patient, fiduciary, or other clinical relationship between you and Maia. Any clinical relationship that arises through the Expert Services is solely between you and the specific clinician you engage, begins only when that clinician accepts your engagement, and is governed by the clinician’s applicable terms and consent documentation as described in clause 7.

Always seek the advice of a qualified health professional with any questions about a medical condition, symptom, medication, or treatment. Never disregard professional medical advice, delay seeking it, self-diagnose, start or stop medication or treatment, or make another medical decision because of something you read or received through the Services. You remain responsible for seeking appropriate professional advice and deciding whether and how to act on general information made available through the Services.

If you experience or suspect a medical emergency, a serious or rapidly worsening symptom, or an immediate risk of harm to yourself or another person, call your local emergency services or seek urgent in-person medical attention immediately. The Services are not designed, staffed, or monitored for urgent, crisis, or emergency care, and communications through the Services may not be reviewed immediately. You must not rely on the Services in any such circumstances.

Insights may be generated with the help of automated systems, including artificial intelligence and machine learning. These outputs are informational, may contain errors or limitations, and are not medical advice or clinical decisions. You must not rely on them as the sole basis for any medical or other significant decision. Where relevant, we identify AI-generated outputs and provide the information and rights described in our Privacy Policy, including any right available under applicable law to request human review, object to profiling, or withdraw consent to relevant processing.

6. The Services we provide

We provide the App and website, Assessments such as the Midlife Clarity Snapshot, the Concierge service, the Community, and access to Expert Services. Some features are available only on a paid subscription, and some depend on your country and on connected third-party services.

We may add, change, suspend, or remove features, including to improve the Services, address security or legal requirements, or reflect changes to third-party services. Where a change materially reduces the core functionality of a paid feature during a current billing period, we will give any notice and provide any remedy required by clause 18 and applicable consumer law. We may make changes without advance notice where reasonably necessary to address security, safety, legal, regulatory, or technical issues.

7. Expert Services and the clinician relationship

Where you request a consultation or review, we help connect you with an independent clinician or health professional. Unless we tell you otherwise in writing, the clinician is an independent provider, is not our employee or agent in providing clinical care, contracts directly with you for the clinical service, and is solely responsible for assessing whether the service is suitable for you and for all clinical care, advice, diagnosis, treatment, follow-up, referrals, and prescriptions they provide. Maia facilitates access, scheduling, communications, payments where applicable, and the platform; Maia does not practise medicine, direct or control a clinician’s clinical judgment, or guarantee any diagnosis, treatment, availability, or health outcome. To the extent permitted by applicable law, Maia is not responsible for the acts, omissions, clinical judgment, or clinical services of any independent professional.

Clinicians are responsible for maintaining all registrations, licences, qualifications, approvals, and insurance required for their services and for complying with the professional, clinical, prescribing, and territorial rules that apply to them. We carry out reasonable checks on professionals made available through the Services, but those checks are based on information available to us and do not constitute an endorsement, warranty, or guarantee of a professional’s continuing status, availability, suitability, or clinical services. You should consider whether a professional and the Expert Services are suitable for your needs and raise clinical questions directly with that professional.

Expert Services are subject to availability, clinical appropriateness, geographic and licensing restrictions, and any additional terms, fees, cancellation rules, and informed-consent forms presented at or before booking by us or the relevant clinician. Where required by applicable law, we will obtain your explicit consent before processing or sharing health data for the Expert Services, as described in the Privacy Policy. A clinician may decline, discontinue, or refer you elsewhere where the requested service is outside their competence, licence, or professional judgment.

8. Community and your Content

The Community lets you post Content and interact with others. You keep ownership of your Content. You grant Maia a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, format, adapt, transmit, display, and otherwise use your Content as reasonably necessary to operate, secure, moderate, provide, and improve the Services. You confirm that granting this licence does not violate any third-party rights. This licence ends when you delete the Content or close your account, except to the extent that the Content has been shared with others and remains lawfully available to them, or copies are retained as required by law, for security or legal purposes, or in routine backups, and except for anonymised or aggregated data that no longer identifies you. Personal data contained in your Content will be handled in accordance with our Privacy Policy.

You are responsible for your Content and confirm you have the right to post it. Do not post Content that is unlawful, infringing, harmful, harassing, hateful, or that shares another person’s private or health information without their consent.

The Community is a peer space, not a source of medical advice, diagnosis, or treatment. Content posted by other members is their own, may be inaccurate or harmful, and is not endorsed or verified by Maia. You must not rely on Community Content for medical decisions and should report Content that appears unsafe, unlawful, or in breach of these Terms. We may, but are not obliged to, monitor, review, moderate, remove, preserve, or restrict Content and may warn, suspend, or remove members who breach these Terms or create a legal, safety, or security risk. We do not guarantee that all inappropriate Content will be identified or removed.

9. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in breach of any applicable law or regulation;
  • Present the Insights, Assessments, Community Content or any other output as medical advice or clinical information to others, or use the Services to provide health services to third parties;
  • Use the Services or any output to diagnose, treat, monitor or triage a person, prescribe or recommend medication, change a treatment plan, or determine whether a person requires urgent or emergency care;
  • Attempt to access, tamper with, or disrupt the Services, servers, or networks, or bypass security or access controls;
  • Copy, scrape, reverse engineer, or create derivative works from the Services except as allowed by law;
  • Upload malicious code, or use the Services to harass, impersonate, or harm others;
  • Use automated means to access the Services without our written permission.

10. Third-party services and connected devices

The Services may let you connect third-party apps and devices, such as Apple Health, Garmin, or Oura, and may link to third-party content. Those services are operated independently and are governed by their own terms and privacy policies. We do not control or endorse third-party services and, to the extent permitted by applicable law, are not responsible for their availability, accuracy, security, acts, omissions, or handling of your data. Connecting them is at your choice and risk, and changes made by a third party may affect or interrupt related features of the Services. We access and use data from connected devices only with your explicit consent where required by applicable law, as described in the Privacy Policy, and you may disconnect a service or withdraw that consent through the available settings.

11. Subscriptions, fees, and billing

Some Services require a paid subscription. Before purchase, the applicable price, currency, billing cycle, subscription features, trial terms, and any taxes or other charges will be shown to you. By subscribing, you authorise us, or the relevant app store or payment provider, to charge the disclosed fees and applicable taxes using your selected payment method. You must provide accurate billing information and keep your payment method valid and up to date.

Unless stated otherwise at the point of purchase, subscriptions renew automatically at the end of each billing period at the then-current disclosed price until cancelled. By purchasing an automatically renewing subscription, you authorise recurring charges without a further payment instruction, subject to any notice or renewed consent required by applicable law. You can cancel at any time through your account settings or, if you subscribed through an app store, through that app store. You must cancel before the renewal date to avoid the next charge. Unless applicable law or the relevant app store rules require otherwise, cancellation takes effect at the end of the current paid billing period and does not result in a refund for the unused portion of that period.

Where you buy through an app store, that store processes the purchase and its billing, renewal, cancellation, and refund rules apply to the extent required by its terms or applicable law. Refund requests for app-store purchases must be submitted through the relevant app store unless applicable law requires us to handle them. Except where applicable law or app-store rules require otherwise, fees already paid are non-refundable. If you have a statutory cooling-off or withdrawal right, we will honour it. Where permitted by law, if you request immediate access to digital content or Services during a cooling-off period, we may ask for your express consent to immediate performance and your acknowledgement that your withdrawal right may be lost or reduced once performance begins.

We may change subscription prices from time to time. We will give you the advance notice required by clause 18, applicable law, and any relevant app-store rules. Unless you cancel before the renewal date, the changed price will apply from the first renewal occurring after the applicable notice period. A price change will not affect a billing period that has already been paid for.

Assessments such as the Midlife Clarity Snapshot may be offered free of charge. We may change, limit, suspend, or withdraw free features at any time, including without advance notice, subject to applicable law. We do not guarantee that a free feature will remain available or later be included in a paid subscription.

12. Intellectual property

The Services, including all software, text, design, branding, and the Maia name and logo, are owned by Maia or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable licence to use the Services for your own personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

You may not use the Maia name or branding without our prior written permission.

13. Privacy and data

We handle your personal data as described in our Privacy Policy, which forms part of your relationship with us. Please read it to understand what data we collect, how and why we use it, how we share and transfer it, how long we retain it, and the rights available to you. Where required by applicable law, we rely on your explicit consent to process health data, connected-device data, or other sensitive personal data. We may also process personal data on another lawful basis identified in the Privacy Policy where permitted or required by applicable law. You may withdraw consent at any time without affecting processing carried out lawfully before withdrawal, but withdrawing consent may prevent us from providing a feature or Service that requires the relevant data.

14. Disclaimers

We provide the Services with reasonable care and skill where applicable law requires us to do so. Beyond that, and to the fullest extent permitted by applicable law, the Services and all information, Insights, Community Content, and automated outputs are provided “as is” and “as available”. We do not warrant that they will be uninterrupted, secure, error-free, complete, accurate, current, compatible with every device, or suitable for a particular purpose, or that defects will always be corrected. We do not warrant or guarantee any diagnosis, treatment, clinical, wellbeing, or other health outcome. Availability and performance may be affected by maintenance, internet connectivity, third-party systems, connected devices, and events outside our reasonable control.

Nothing in these Terms limits or excludes any warranty or right that cannot be limited or excluded under the law that applies to you, including your rights as a consumer.

15. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability to the extent that it cannot lawfully be excluded or limited under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by law: we are not liable for any loss that was not reasonably foreseeable when you accepted these Terms; any loss that could have been avoided by following our reasonable instructions or the medical and emergency warnings in these Terms; any loss arising from reliance on the Insights, automated outputs, or Community Content as a substitute for professional medical advice; any loss caused by inaccurate, incomplete, or delayed information supplied by you or a third party; or the acts, omissions, availability, or clinical judgment of independent clinicians or third-party services. If you use the Services for any business or commercial purpose, we are not liable for loss of profit, revenue, business, contracts, anticipated savings, data, goodwill, or opportunity, or for indirect or consequential loss. Our total aggregate liability to you arising out of or in connection with the Services and these Terms is limited to the greater of the amount you paid us for the Services in the 12 months immediately before the event giving rise to the claim and HK$500.

If you are a consumer, this clause does not affect your mandatory legal rights, and each exclusion or limitation applies only to the extent permitted by the law that applies to you.

16. Indemnity

To the extent permitted by law, and where you are not acting as a consumer, you agree to indemnify us against reasonable losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from any third-party claim caused by your material breach of these Terms, unlawful or unauthorised misuse of the Services, infringement of another person’s rights, or Content you submit. We will notify you promptly of any third-party claim, allow you a reasonable opportunity to participate in its defence, and take reasonable steps to mitigate recoverable loss. You must not settle a claim in a manner that admits liability by us, imposes an obligation on us, or affects our rights without our prior written consent.

17. Suspension and termination

You may stop using the Services and close your account at any time, subject to any subscription cancellation process in clause 11. We may restrict, suspend, or end your access immediately if you breach these Terms; fail to pay applicable fees; create a safety, security, legal, regulatory, reputational, or operational risk; misuse the Services; threaten or harass another person; or if we are required to do so by law or by an app-store or platform provider. Where reasonable and lawful, and where the issue can be remedied, we will give you notice and a reasonable chance to put it right. We may preserve information and cooperate with authorities where reasonably necessary to investigate suspected unlawful activity or protect rights, safety, or security.

On termination, your right to use the Services ends and you must stop accessing and using them. Termination does not affect accrued rights, payment obligations, or liabilities. Clauses that by their nature should survive, including those on Content, intellectual property, disclaimers, liability, indemnity, disputes, and governing law, will survive. We handle your data after closure as set out in the Privacy Policy, including the retention of information where required for legal, regulatory, security, accounting, or dispute-resolution purposes.

18. Changes to these Terms

We may update these Terms to reflect changes in the Services, our practices, technology, security requirements, third-party arrangements, or the law. For material changes we will give you at least 14 days’ advance notice by email or in-app notification before they take effect, unless a shorter period is reasonably necessary to address an urgent legal, regulatory, safety, or security issue. Where the law requires, we will ask for your agreement. If you do not accept a material change, you may close your account and cancel any affected subscription before it takes effect. Continued use after the change takes effect means you accept the updated Terms to the extent permitted by applicable law.

19. Governing law and disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Hong Kong. If you are not acting as a consumer, the courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services. If you are a consumer, you retain the benefit of any mandatory consumer-protection rules that apply in your country of residence and any non-excludable right to bring proceedings in your local courts. Before commencing proceedings, we and you will each use reasonable efforts to resolve the dispute informally by giving the other a written description of the issue and allowing a reasonable opportunity to respond, except where urgent relief or a statutory limitation period requires earlier action.

20. Your consumer rights

If you use the Services as a consumer, you have mandatory legal rights under the laws applicable to you that these Terms do not exclude, restrict, or modify. References to particular consumer regimes do not mean that every regime applies to every user or Service. Where anything in these Terms conflicts with a mandatory consumer right that applies to you, that right prevails only to the extent of the conflict.

21. General

  • Entire agreement: these Terms, the Privacy Policy, and any product-specific terms accepted by you are the whole agreement between us on their subject matter and replace any earlier agreement or understanding concerning the same subject matter. Nothing in this paragraph limits liability for fraud or fraudulent misrepresentation. The order of precedence in clause 1 applies to any inconsistency.
  • Severability: if any part of these Terms is found unenforceable, the rest continues to apply.
  • No waiver: if we do not enforce a right, that is not a waiver of it.
  • Assignment: you may not assign, transfer, charge, or otherwise deal with your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or in connection with a reorganisation, financing, sale of assets, merger, acquisition, or transfer of the Services, provided that doing so does not reduce any mandatory rights you have as a consumer. We may use subcontractors to perform the Services but remain responsible to the extent required by applicable law.
  • Force majeure: to the extent permitted by applicable law, we are not liable for delay, interruption, or failure caused by events beyond our reasonable control, including internet or telecommunications failures, cloud or app-store outages, cyberattacks not caused by our failure to use reasonable security measures, labour disputes, epidemics, natural disasters, governmental action, or failures of third-party infrastructure. We may suspend affected obligations for the duration of the event and will take reasonable steps to restore the Services.
  • Notices: we may contact you using the email address associated with your account, an in-app notification, or another electronic method made available through the Services. You are responsible for keeping your contact details current. A notice is treated as received when sent, unless we receive an automated delivery-failure message, subject to any different rule required by applicable law. You contact us using the email or postal address below.
